Access Agreement for Independent Oracle Users Group ("IOUG") Secured Access Areas

Introduction

As a condition of access, IOUG requires that any computer user wishing to enter any IOUG Secured Access Area with a valid member, user, or registration number must comply with the Rules and other terms of this Agreement. Your continued access to an IOUG Secured Access Area is contingent upon your compliance with this Agreement.

Rules

  1. IOUG Secured Access Areas are provided by IOUG as a service to a user with a valid access number. Any information posted in an IOUG Secured Access Area must be related to the purposes of IOUG.
  2. Secured Access Area ("SAA") users shall exercise both common sense and courtesy when transmitting messages in a Secured Access Area. SAA users shall not transmit defamatory, disparaging, obscene, or offensive materials or communications in a Secured Access Area.
  3. SAA users are prohibited from uploading or distributing articles, files, or other information subject to trademark, copyright, or other proprietary rights except with the express consent of the owner of the rights.
  4. SAA users are prohibited from accessing a Secured Access Area to communicate with competitors about prices, terms of service or otherwise communicate in a manner that may violate federal or state antitrust laws. Since Web site communications may be downloaded without the knowledge of the sender, SAA users should be fully informed about the antitrust laws as they apply to agreements among competitors and act in strict compliance with those laws.
  5. Information posted in a Secured Access Area will not be treated as confidential. IOUG may monitor materials and information found in a Secured Access Area, and it retains the right to remove any material or information it believes is not in the best interests of IOUG.
  6. A Secured Access Area may not be accessed to conduct any other activities that may be illegal. For example, a Secured Access Area shall not be used to encourage software infringement, spreading of computer viruses, breaking into private computer forums, gambling, or other crimes.
  7. A Secured Access Area may not be used in a manner that violates the bylaws or any other policies, procedures, rules or regulations of IOUG.
  8. Respect the security of a Secured Access Area. SAA users shall not attempt to gain access to areas private to IOUG and its members.
Limitation of Liability and Indemnity

IOUG makes no warranty, guarantee, or representation as to the accuracy or sufficiency of the information that appears in a Secured Access Area and assumes no responsibility or liability in connection with the use or misuse of such information.

SAA USERS SHALL INDEMNIFY AND HOLD IOUG HARMLESS FROM AND AGAINST ANY AND ALL LIABILITY, CLAIMS, DAMAGES, LOSSES, COSTS AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES) RELATING TO ANY ACTS OR OMISSIONS BY SAA USERS OR MATERIALS OR INFORMATION TRANSMITTED BY SUCH USERS IN CONNECTION WITH THE USE OF AN IOUG SECURED ACCESS AREA.

Choice of Law

This Agreement shall be governed in all respects by the laws of the State of Illinois, irrespective of its choice of law rules. In addition, SAA users consent to be subject to the exclusive jurisdiction of the state and federal courts of Cook County, Illinois in the event of any dispute between the parties.
